# Will licensing company data to AI help my competitors?

> Worried that selling company data to AI helps competitors? We found no license term limiting how the data is used. A micro1 referral partner called it fair.

## The short answer

The public record has no contract answer yet. A micro1 referral partner said the worry is fair, but AI companies want scoped tasks, not the company playbook. I found no use limit on micro1's public pages. Frankfurt Kurnit, a law firm, says the contract should restrict data use.

If you're asking this, you're checking whether licensing hands rivals an edge. Here is what each source says, and what none of them says.

## What did the micro1 partner say?

A [micro1](/buyers/micro1) referral partner, interviewed in a micro1 video, called the concern fair. In her telling it assumes the whole company playbook changes hands, while micro1 wants individual scoped tasks and how they get done.

Her closing line was that "these models are going to learn either way" (self-reported).

The interviewer summed it up as less about trade secrets and more about operational workflows. Neither speaker described a contract term, and micro1 also pays the people who introduce companies to it. Read it as a sales answer.

## What does the contract say about how the data is used?

[micro1's data partnerships page](https://www.micro1.ai/data-partnerships) says data is handled under an agreed use case, and that scope and security standards are defined with the company before it takes part (self-reported). It names no competitor term.

Its only separation language covers pipelines that keep one customer's data from mixing with other engagements. That says nothing about what the trained model later does. I haven't seen micro1's agreement, and none of the firms I researched publishes one.

[Frankfurt Kurnit Klein & Selz](https://technologylaw.fkks.com/post/102o455/selling-company-data-for-ai-training-what-to-know-before-you-say-yes), a law firm, wrote that "the agreement should restrict how the buyer can use the data." It warns that a buyer could train AI that powers a competing product.

## Does US trade secret law protect company data from competitors?

The Defend Trade Secrets Act protects information when its owner has taken reasonable measures to keep it secret ([18 U.S.C. 1839(3)](https://www.law.cornell.edu/uscode/text/18/1839)). Misappropriation includes use by someone who knew the information came under a duty to limit its use (1839(5)(B)(ii)(II)).

The same law firm says licensing may jeopardize trade secret protection for pricing logic, strategy documents and source code. Whether your records qualify is a question for counsel.

## Can a model like GPT-2 or ChatGPT repeat what it learned?

Sometimes. Researchers extracted hundreds of verbatim training sequences from GPT-2 ([Carlini and others](https://arxiv.org/abs/2012.07805)) and, in 2023, extracted training data from ChatGPT ([Nasr and others](https://arxiv.org/abs/2311.17035)). Neither paper tests a micro1 model.

The law firm adds that data cannot practically be pulled back out once a model trains. I found no test of any buyer's model, so the risk is established in research and unmeasured here.

## What can an owner do?

Leave out strategy, pricing logic and source code. Ask the buyer in writing about use limits, resale, exclusivity and deletion. Our [list of data you cannot license](/answers/what-data-can-i-not-sell-to-ai) and [NDA page](/answers/does-my-nda-let-me-sell-data-to-ai) cover the rest, and the [rights check](/rights-check) covers contracts, NDAs and personal data.

Figure: steps Ask for the use clause -> Check resale, field, exclusivity -> Have counsel read it. Ask the buyer for the use terms in writing, then have counsel read them.
