Final tax return when closing a business: what to file and when

The short answer
Your final tax return when closing a business depends on the entity: Form 1065, 1120 or 1120-S, with the final return box checked. Corporations add Form 966 within 30 days. Employers file a final 941 and 940 and issue W-2s early. A letter then closes the EIN account.
The IRS doesn't take a closing notice by phone. It takes a stack of final returns, each with a box ticked, and a letter at the end.
What is the order of IRS forms when closing a business?
Corporations start with Form 966, due 30 days after the plan to dissolve is adopted. Then come the final payroll returns, the year-end information returns and the final income tax return. A letter closing the EIN account goes last.
| Form | Due | What to mark |
|---|---|---|
| Form 966, corporations only | Within 30 days after the resolution or plan to dissolve is adopted | File another within 30 days if the plan is amended |
| Final Form 941 | By the last day of the month after the quarter you paid final wages | Check line 17, enter the last date you paid wages, attach the payroll records statement |
| Forms W-2 and W-3 | By the due date of the final 941, to employees and to the Social Security Administration | W-2s for the calendar year of termination |
| Final Form 940 | The annual due date after the year you paid final wages | Check box d |
| Form 1099-NEC | January 31 after the year you paid | Nonemployee pay of $2,000 or more, for payments in 2026 |
| Final Form 1065, partnerships | 15th day of the 3rd month after the tax year ends, and that year ends when the partnership winds up | Final return box, final K-1 box |
| Final Form 1120, C corporations | 15th day of the 4th month after the date it dissolved | Final return box, item E |
| Final Form 1120-S, S corporations | 15th day of the 3rd month after the date it dissolved | Final return box, item H, and the final K-1 box |
| EIN letter | After every return is filed and all tax is paid | Legal name, EIN, address and the reason you are closing |
A sole proprietor files Schedule C with the owner's own Form 1040 for the year the business closes. The IRS closing-a-business page lists the extra forms, such as Form 4797 for business property and Form 8594 when the business itself is sold.

What does a final Form 941 need when a business closes?
A final Form 941 is the return for the quarter in which you paid your last wages. Check the box on line 17, enter the final date you paid wages, and attach a statement naming the person keeping the payroll records and the address where they will be kept.
That statement matters later. The IRS employment tax record rules say the records stay available for IRS review for at least four years after the 4th quarter is filed. Our page on what to keep when you close has every federal keep period.
When are W-2s due when a business closes?
W-2s come due early when a business closes. The IRS instructions say to give employees their W-2s for the year of termination, and file them with the Social Security Administration, by the due date of the final Form 941 or 944.
So a company that pays its last wages in May owes the final 941, and the W-2s, by 31 July. That is six months ahead of the usual end-of-January deadline.
What 1099 threshold applies in the year a business closes?
For payments made in 2026, Form 1099-NEC covers nonemployee compensation of $2,000 or more. The IRS instructions for Forms 1099-MISC and 1099-NEC say the reporting threshold rose to $2,000 for tax years beginning after 2025.
The IRS closing-a-business page still says $600, the figure for earlier years. Form 1099-NEC is due to the IRS and the contractor by January 31. Our page on 1099s for data licensing covers the other boxes.
How do I close the EIN when a business closes?
Send the IRS a letter with the business's legal name, EIN, address and the reason you want the account closed. Enclose a copy of the EIN assignment notice if you kept it. The IRS won't close the account until every return is filed and all tax is paid.
The IRS gives two different addresses. The closing-a-business page lists Cincinnati, OH 45999.
The IRS page for an EIN you no longer need says the IRS can't cancel an EIN, only deactivate it. It lists Kansas City, MO 64108 (MS 6055) and Ogden, UT 84201 (MS 6273). Check both pages on the day you mail it.
Does a closing business file a final state tax return too?
Usually, yes, and some states won't accept the dissolution until the tax side is done. California's Franchise Tax Board wants the final return marked final, then the dissolution papers within 12 months of it.
Our table of which states require a tax clearance to dissolve gives each state's answer. The closing checklist puts the federal and state steps in order for your state.
