License law firm data to AI: questions for counsel

The short answer
Much of a law firm's archive is client information. Summaries of ABA Formal Opinion 512 say it requires informed client consent before client information goes into AI. No published ABA opinion addresses transferring an archive. Mercor and micro1 list legal work in their data partnerships. Ask your ethics counsel.
This page gives a firm questions to ask. There's no pitch in it, and every legal call sits with the firm's own ethics counsel.
What do the companies say about legal data?
Two name it, in different senses. Mercor's data page lists legal as a sector. micro1's data partnerships page lists legal and contracts as an area, which describes contract workflows more than law firm files. All of it is self-reported. See what industry means for the full comparison.
Mercor's research team also maps where AI is tested. Its Benchmark Map (Oct 2026) counts 5 of 7 legal occupations as covered, but says the benchmarks heavily cover lawyers' tasks and barely cover those of legal secretaries or court clerks. My reading is that a firm's filing and docketing records sit on the less-tested side. The map measures tests, not purchases, and names no price.
What does ABA Opinion 512 say?
Opinion 512 applies the confidentiality rule, Model Rule 1.6, to a lawyer's use of generative AI. Summaries by Frankfurt Kurnit Klein & Selz and a legal-ethics database say it requires informed consent before client information goes into a self-learning tool. It says general boilerplate in engagement letters purporting to authorize AI use is not sufficient.
I couldn't open the ABA's own pages, which blocked my fetch. The opinion covers a lawyer using a tool. Licensing puts the archive in a buyer's hands, which is a different act, but it's the closest published guidance I found. State bars adopt their own versions of the rules.
Who holds the privilege in law firm records?
As a general rule the privilege belongs to the client, and disclosing privileged material to a third party generally waives it. Our privilege page covers the cases.
Spirit Airlines excluded privileged materials from its sale, and Frankfurt Kurnit's checklist lists privileged material among the categories to leave out.
What should a firm ask counsel?
- Which matters and clients sit in the archive, and do any engagement letters mention data use?
- Can each client give informed consent, and has anyone asked?
- Which files are the firm's own, such as billing, marketing and internal operations?
- What does the firm's state bar say about client information and AI?
- Who holds privilege for each matter, and who decides on waiver?
Our rights check and risks page cover the wider data questions.
