License data in acquisition: AI buyers and diligence

The short answer

List the data among the business assets. California's merger exception covers transfers where the buyer takes control of the business. An AI lab license leaves control with you, so the exception may not apply. Diligence will ask for prior data licenses, so keep the records.

Data shows up in an acquisition in two ways. It goes with the business, or it was licensed to someone else before the deal.

What does the merger exception cover?

The statute's text says the business transfers a consumer's personal information as an asset in a transaction where the third party assumes control of all or part of the business. It adds a condition: the information must be used or shared consistently with the statute.

If the buyer materially changes how it uses the data in a way that departs from the promises made at collection, it must give prior notice. The same subparagraph says it does not authorize material, retroactive privacy policy changes.

My CCPA page walks through the sale definition around it.

Does licensing data to an AI lab fit the exception?

On the text, a lab that licenses data does not take over the owner's business. That makes the license a separate question from the acquisition, which is my reading and not a holding. Whether the transfer in a given deal falls inside the exception is for counsel.

What does diligence ask?

Frankfurt Kurnit's memo says a prior data license will come up in diligence and buyers will expect to see the decision record. It also tells owners to review customer, partner, vendor and data license agreements first.

A license granted without that review is the version an acquirer will question. Keep counsel's notes with the deal file, and run the rights check before a buyer call.

How an existing license meets the LOI, the reps and warranties and the data room is in licensing company data before an acquisition.

Do AI buyers approach acquired startups?

Yes, per BigGo. Mercor approached the AI startup Warmly eight days after its HubSpot acquisition announcement, with multiple solicitations that the founder declined. Offers for such datasets were reported up to $300,000.

Will my M&A adviser be paid by anyone else?

Ask your adviser in writing who pays them, how much and when, before they introduce you to anyone. An adviser can be paid by you and also by the firm or buyer they bring in. A written answer shows you whose interests each piece of advice serves.
