Should you license company data before you sell the business?

The short answer
Only with your acquirer in the loop. A data license is a contract the acquirer inherits or has to unwind, so it shows up in the LOI, in diligence and in your reps and warranties. Read it for term, exclusivity and assignment, then disclose it in the data room.
Data offers tend to land at awkward moments. BigGo reported that Mercor emailed Warmly, an AI startup, eight days after Warmly announced HubSpot would acquire it (BigGo). If your company is in an acquisition process, the next offer could arrive mid-deal too.
How does a data license affect the sale of a business?
A data license is a contract that outlives the signature. If it is exclusive, it limits what the acquirer can do with records it is paying for. If it carries a revenue share, it is an income stream the acquirer will want to value.
Either way it changes the deal, so the acquirer needs to hear about it before it finds it. The Frankfurt Kurnit law firm notes that gaps in data rights "can surface in M&A diligence and affect how the company and its data are valued" (Frankfurt Kurnit).
What should the LOI for a business sale say about a data license?
If the license is signed before the LOI, list it among the material contracts and say whether it transfers with the company. If you are still talking to a data program, say so, because most LOIs carry a no-shop or exclusivity period.
Purchase agreements usually require you to run the business in the ordinary course between signing and closing. A new data license can fall outside that, so get the acquirer's written consent first. Our letter of intent template has the clauses to fill in.
What will due diligence on the business ask about a data license?
An acquirer's diligence team will want the signed license, a record of what was shared, the de-identification method and what happens to the data when the license ends. Frankfurt Kurnit says a prior data deal "will come up in diligence, and buyers will expect to see this record" of the review.
So keep the record as you go: the inventory, the exclusions, the de-identification method and counsel's sign-off. The data room checklist has a row for each.
Which reps and warranties in a business sale does a data license touch?
A data license usually touches three of them. You represent that you own your IP and data, that you complied with privacy law and your own notices, and that no contract conflicts with the sale.
An exclusive license qualifies the first. A license granted without employee or customer notice puts pressure on the second.
And a license that needs the program's consent to assign touches the third. The reps a data program asks of you are in reps and warranties in a data deal.
What do the data programs' own terms say about ownership and term?
| Program | Ownership, in its own words | Term or exclusivity |
|---|---|---|
| micro1 | "Companies retain ownership of their underlying data" | Set in its proposed agreement |
| Polyshares | "You keep the business and the data" | Defined term, exclusive by default |
| Replay | "Nothing is transferred" | Deleted on request if you stop |
| Troveo | "Ownership never transfers" | Exclusivity time-limited, with exit terms |
| SimpleClosure | "You retain ownership of all rights" | Perpetual, irrevocable license |
Read on each company's own pages on 14 Oct 2026. A perpetual license survives the sale. A defined, exclusive term binds the acquirer until it ends.
How does a business disclose a data license in the data room?
Put the signed license in the material contracts folder, with the data inventory and the de-identification method beside it. Add the payment schedule, and any revenue share still owed, so the acquirer can price it.
One more line belongs there. California's AB 2013 requires generative AI developers to publish high-level information about their training data sources, so a license may not stay private.
Should a business wait until after the sale to license its data?
Often, yes. Once an LOI is signed, the acquirer usually gets a say, and a data deal can wait for closing. Before any sale process starts, a short non-exclusive license is the easiest kind to carry into one.
How an acquirer treats data under California's merger exception is in licensing data in an acquisition. The price gap between the two kinds of license is in exclusive vs non-exclusive pricing.
